초록1	본 연구는 가족기업의 지배구조와 경영성과 간의 관계, 그리고 이들 관계에 있어 환경역동성이 미치는 조절효과에 대한 실증분석 결과를 제시하여 심화되는 환경 불확실성 하에서 경쟁하고 있는 국내 가족기업들에게 효과적인 지배구조시스템의 구성방안을 제시하는 것에 주된 목적을 두고 있다. 국내 유가증권시장에 등록된 13개 산업부문 가족기업들을 대상으로 분석한 결과는 소유구조와 관련한 지배구조시스템들인 최대주주와 기관투자자 지분율의 경우 기업성과에 통계적으로 유의한 정(+)의 영향을 미치고 있음을 보여준다. 그러나 사외이사비율, 최고경영자의 이사회의장직 겸임, 감사위원회 구성을 포함한 이사회 구성과 관련한 시스템들은 성과에 중대한 직접효과를 미치지 않는 것으로 나타났다. 또한 연구결과는 가족기업들의 지배구조시스템들과 경영성과 간의 관계가 환경역동성에 따라 조절될 수 있음을 보여주고 있는데, 구체적으로 최대주주지분율과 사외이사비율의 경우 환경역동성이 높아질수록 성과에 부정적인 영향을 미치는 반면, 감사위원회는 긍정적인 영향을 미치는 것으로 나타났다. 본 연구는 심화되는 환경 불확실성 하에서 국내 가족기업들의 성과 향상을 위해서는 다양한 상황변수들의 조절효과를 고려한 선별적인 지배구조시스템의 구성과 활용이 필요하다는 시사점을 제공하고 있다.

초록2	After the financial crisis in late 1990s, many Korean firms have adopted the U.S. corporate governance system that is characterized as the separation of ownership with management. However, its effectiveness and efficiency is still questionable. Accordingly, this study explores the relationships between corporate governance systems and performance of Korean family firms. To suggest the most effective governance systems of Korean family firms it also analyzes the moderating effects of environmental dynamics on the relationships between various governance systems and firms performance. The results reveal that the largest shareholder and institutional investors positively and significantly influence the performance of family firms. They also provide partial support for the moderating effects of environmental dynamics. The largest shareholder and institutional investor shows negative relationships with firm performance under the high-level of environmental dynamics. Those findings imply that, for optimum monitoring and control, governance systems of Korean family firms should be differentiated with them of non-family firms and also reflect the characteristics of environment uncertainty.
